"Introductions" means algorithmically generated or user-enabled contact opportunities between users and professionals, including real estate agents, lenders, and vendors.
"Memberships" refers to paid or unpaid subscription tiers for consumers, agents, lenders, and vendors.
"Terms" includes these Terms and Conditions, our Privacy Policy, and any other notices or agreements presented through the platform.
PART II – GENERAL TERMS
You should review these terms periodically, as we update them from time to time.
BY ACCESSING OR USING THE SERVICES, YOU AGREE THAT YOU ARE BOUND BY THESE TERMS OF SERVICE. THESE TERMS INCLUDE AN ARBITRATION AGREEMENT, WAIVER OF CLASS ACTION RIGHTS, AND LIABILITY LIMITATIONS.
YOU MAY NOT ACCESS OR USE THIS SERVICE IF: (I) YOU CHOOSE NOT TO AGREE TO THE TERMS, (II) YOU ARE UNDER 18 YEARS OF AGE, (III) YOU DO NOT HAVE THE FULL POWER AND AUTHORITY TO ENTER INTO AND FOLLOW THESE TERMS, OR (IV) YOUR AGREEMENT TO AND FOLLOWING OF THESE TERMS DOES OR WILL BREACH OR CONFLICT WITH ANY OTHER AGREEMENT OR ARRANGEMENT YOU HAVE WITH SOMEONE ELSE OR OTHERWISE VIOLATES THE LAW.
We reserve the right to revise these Terms. Changes to these Terms are effective upon posting on our Website. After such posting, your continued use of the Websites and/or Services constitutes your acceptance of those changes.
Nature of Services
Aligre.com is a real estate data analytics platform that aggregates, organizes, and presents objective and personalized information to users about when it may be optimal to buy or sell a home based on their financial profile, market conditions, and personal housing goals.
Aligre is not a real estate brokerage and does not act as a real estate agent, fiduciary, mortgage lender, financial planner, or legal advisor. Aligre does not list, advertise, negotiate, or close real estate transactions, and its services are not intended to substitute for advice or representation from licensed professionals.
B. Limited Scope of Services
Unless subject to a separate written agreement:
We do not represent you in real estate negotiations or transactions.
We do not visit properties, provide physical tours, or assess property condition.
We do not provide tax, investment, legal, or financial planning advice.
We do not warrant the accuracy, applicability, or timeliness of our insights.
We do not guarantee results from using our Services.
We do not verify or endorse professionals introduced via the platform.
You are solely responsible for making any financial or real estate decisions, and we strongly recommend consulting with licensed professionals.
C. Prohibited Use
Aligre.com reserves the right to monitor our Services for the purpose of determining that use of the Services and Websites complies with these Terms. YOU AGREE THAT YOU WILL NOT, DIRECTLY OR INDIRECTLY:
Use the Service, including but not limited to transmitting Content, for any unintended purposes or in a manner or violates these Terms or any law, rule of professional conduct, or regulation; or in a manner that abuses, threatens, defames, libels, incites hatred or violence toward, victimizes, intimidates, or otherwise harasses any person or group of persons.
Use the Service, including but not limited to transmitting Content, in a manner that abuses, threatens, defames, libels, incites hatred or violence toward, victimizes, intimidates, or otherwise harasses any person or group of persons;
Engage in any activity that constitutes the unauthorized practice of law, including, but not limited to, drafting or modifying legal documents, providing legal advice, or representing any party in a legal capacity without proper licensure.
Except as expressly permitted by these Terms, copy, reproduce, modify, distribute, display, create derivative works of, or transmit any Content on the website or part of the Service;
Use the Service or any of our marks commercially, for benchmarking, or to compile Content for a competitive product or Service, or;
Reverse engineer, decompile, tamper with, or disassemble the technology used to provide the Service (except as and only to the extent any foregoing restriction is prohibited by a nonwaivable provision of applicable law or to the extent as may be permitted by the licensing Terms governing use of any open-source components), or otherwise attempt to obtain source code.
Interfere with or damage the Service or our servers, including but not limited to the use of viruses, malware, harmful code, denial of service attacks, hacking or anything that could be construed as hacking, forged information, or similar methods or technology, or through any form of excessive bulk activity (for example, spamming), or relay any other form of unsolicited advertising or solicitation through our servers, such as get-rich-quick schemes;
Reproduce, duplicate, copy, sell, resell, compile, or exploit any portion of the Service, use of the Service, or access to the Service without Company’s express written permission.
Impersonate or misrepresent your identity or affiliation with a person, entity or organization, or use a false identity.
Attempt to obtain unauthorized access to the Service or any materials or information not intentionally made available through the Service.
D. Intellectual Property Notice
Aligre.com’s Rights to Content: Aligre.com and our licensors, vendors, agents, and/or our Content providers retain ownership of all intellectual property rights of any kind related to the Websites and Services. We reserve all rights that are not expressly granted to you under this Agreement or by law. The look and feel of the Websites and Services is copyright © (TBD) All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS, Javascript, or visual design elements or concepts without express written permission from Aligre.com. Aligre.com makes available its Content, Services, and Website strictly for authorized use by Users. This does not mean we are assigning any ownership or right of exploitation to Users.

Warranties: Aligre.com makes no representations or warranties regarding the outcomes of services provided and does not guarantee results for real estate transactions.
Company Does Not Provide Legal Advice: Aligre.com does not provide legal advice or services and is not a law firm. Any information provided on our platform, including guidance or templates, is for informational purposes only and should not be considered legal advice. Users should consult a licensed attorney for any legal matters or advice specific to their circumstances. Use of our Services does not establish an attorney- client relationship between you and Aligre.com or any of its representatives.
User Responsibility: The Client is solely responsible for ensuring that the use of Aligre.com’s Services complies with applicable local, state, and federal laws. Aligre.com is not responsible for any violations of law or failure to comply with legal or regulatory requirements arising from Your use of Our Services.
Scope of Services: Aligre.com provides financial and market visibility services. The scope of our services is explicitly defined within these Terms and on our Website. By engaging Aligre.com, you acknowledge that Aligre.com does provide insights on timing and that Aligre.com does not guarantee specific outcomes for real estate transactions.
Liability Limitation: To the fullest extent permitted by law, Aligre.com disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Aligre.com is not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our Services, even if advised of the possibility of such damages. The aggregate liability of Aligre.com shall not exceed the amount paid for the Services.
Data Privacy: Aligre.com collects and processes user data in compliance with applicable privacy laws, including the applicable state law. By using our Services, you consent to the collection and processing of your data in accordance with these policies. No Guarantee of Results Disclaimer: Aligre.com makes no representations, guarantees, or warranties regarding the outcomes or results of any real estate transaction facilitated through our Services. Any projections, estimates, or opinions provided are purely for informational purposes and do not constitute a guarantee.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.
You agree to provide all necessary information and cooperation required for the Company to perform the Services outlined in this Agreement.
PART III – LIMITATION OF DAMAGES
Aligre.com’s liability for any damages you or a third party may incur is limited as follows:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALIGRE.COM, ITS MEMBERS, AFFILIATES, DIRECTORS, ASSOCIATES, PARTNERS, AGENTS, EMPLOYEES, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, OR ATTORNEYS’ FEES), ARISING OUT OF OR IN ANY WAY RELATED TO THE SERVICES OR WEBSITES, REGARDLESS OF THE CAUSE OF ACTION ON WHICH THEY ARE BASED, EVEN IF ALIGRE.COM OR SUCH OTHER PERSONS OR ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL THE CUMULATIVE, AGGREGATE LIABILITY OF ALIGRE.COM IN CONNECTION WITH THE WEBSITES AND SERVICES EXCEED $5,000 OR THE AMOUNTS YOU PAID TO ALIGRE.COM IN CONNECTION WITH THE PARTICULAR PRODUCT OR SERVICE AT ISSUE, WHICHEVER IS GREATER.
YOU MAY HAVE OTHER RIGHTS WHICH MAY VARY FROM STATE TO STATE OR IN OTHER JURISDICTIONS OR COUNTRIES. BECAUSE SOME STATES OR JURISDICTIONS MAY NOT ALLOW LIMITATIONS ON THE DURATION OF IMPLIED WARRANTIES, OR LIMITATIONS ON OR EXCLUSIONS OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO A USER OR ENDUSER DEPENDING ON HER, HIS, OR THEIR STATE OR NATION OF RESIDENCE.
PART IV – INDEMNITY
You agree to indemnify Aligre.com for all costs in connection with claims.
You agree to defend, indemnify, and hold Aligre.com and its affiliates, and their respective employees, representatives, agents, attorneys, directors, officers, and members harmless from any damage, loss, cost, or expense (including but not limited to attorneys’ fees and costs) incurred in connection with any third-party claim, demand, or action brought or asserted against any of the indemnified parties: (i) alleging facts or circumstances that would constitute a breach of any provision of these Terms by you; (ii) arising from or related to your use of the Services; or (iii) arising from or related to your User Content. If you are required to provide indemnification, Aligre.com may, in its sole and absolute discretion, control any claim at your sole cost and expense. You may not settle, compromise, or in any other manner dispose of any claim without Aligre.com’s consent.
PART VI – DISPUTES
If you have any dispute with us, you agree that before taking any formal action, you will contact us at support@Aligre.com provide a brief, written description of the dispute, and your contact information and allow sixty days to pass, during which we will attempt to reach an amicable settlement of any issue. Disputes are further limited by the following: These Terms, your use of the Service, and any other matter relating to Aligre.com will be governed by the laws of the state of Washington, without regard to conflict of laws principles. These Terms and each of its parts evidence a transaction involving interstate commerce, and the United States Arbitration Act applies in all cases and governs the interpretation and enforcement of the arbitration rules and arbitration proceedings. Any claims arising out of, relating to, or connected with these Terms must be asserted individually in binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Terms and the AAA Supplementary Procedures for Consumer Related Disputes (including, without limitation, utilizing desk, phone or video conference proceedings where appropriate and permitted to mitigate costs of travel) in Seattle, Washington. The arbitrator shall not conduct any form of class or collective arbitration nor join or consolidate claims by or for individuals. The Arbitrator, and not any federal, state, or local court or agency, will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability or formation of these Terms, including but not limited to any claim that all or any part of these Terms is void or voidable or a particular claim is subject to arbitration. Judgment on the award rendered by the Arbitrator may be entered in any court of competent jurisdiction. There are only two exceptions to this arbitration agreement:
First, if we reasonably believe that you have in any manner violated or threatened to violate these Terms, we may seek injunctive or other appropriate relief in any court of competent jurisdiction.
Second, any claim of $1,000 or less may, at the option of the claiming party, be resolved in small claims court in Seattle, Washington if the claim and the parties are within the jurisdiction of the small claims court.
BY AGREEING TO THESE TERMS, YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT YOU MAY HAVE TO A COURT TRIAL (OTHER THAN SMALL CLAIMS COURT AS PROVIDED ABOVE) OR TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT, ARBITRATION, OR OTHER PROCEEDING FILED AGAINST US AND/OR RELATED THIRD PARTIES.
REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF THE WEBSITE, SERVICE, OR THE TERMS MUST BE FILED WITHIN ONE YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION ARISES OR IT WILL BE FOREVER BARRED.
To opt out of the arbitration agreement, email us at support@Aligre.com within 30 days of accepting these Terms with 'Arbitration Opt-Out' in the subject line.
PART VII – MISCELLANEOUS
Except as provided in any applicable Software License Agreement and/or Data Processing Addendum between Aligre.com and the User, these Terms (which incorporate our Privacy, Security, and Cookie policies) make up the entire agreement between the parties regarding Aligre.com and supersedes any prior agreements.
Under no circumstances will Company or its licensors be held liable for any delay or failure in performance resulting directly or indirectly from an event beyond Company’s reasonable control.
The Services is controlled and offered by Aligre.com from the United States of America. Unless provided elsewhere in our Agreement with the User, Company makes no representation that the Services may be used in or complies with the laws of other locations. Use from other locations is at your own risk. You consent to processing in the United States of America of the data you provide.
If you provide us with your email address, you agree that we may send you emails related to the Service or your account. If you do not want to receive promotional emails related to the Service, you can opt out by following the instructions in our messages. You may not opt out of emails relating to the administration of any Service you request. We will communicate with you by email or by posting notices on the website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may not transfer your rights or obligations under these Terms without the prior written consent of Aligre.com. Company may freely do so, in whole or in part. These Terms will be binding upon the successors and permitted assigns of you and Company. These Terms do not create any third-party beneficiary rights. These Terms will be interpreted as if equally drafted by Aligre.com and you. A party’s failure or delay in exercising (in whole or in part) any right, power, or privilege under these Terms will not waive its rights to exercise such right, power, or privilege in the future. If any provision of these Terms is declared invalid or unenforceable, then such provision will be deemed automatically amended to the minimum extent necessary to conform to the requirements for validity, and the remaining provisions of these Terms will remain in full force and effect.

Termination
Aligre.com reserves the right to terminate the provision of Services to any client at its sole discretion, without notice, for any reason, including but not limited to Client’s breach of this Agreement or conduct that could harm the Company’s reputation.
Modification of Terms
Aligre.com reserves the right to update or modify these Terms and Conditions at any time without prior notice. Continued use of the service after such changes shall constitute acceptance of the new terms.
Entire Agreement
These Terms and Conditions constitute the entire agreement between Client and Aligre.com concerning the services provided and supersedes all prior agreements, whether written or oral.
By proceeding with the services on Aligre.com, you, as the Client, agree to be bound by the above terms and conditions. Please read this Agreement carefully and contact us with any questions before proceeding.
PART VIII – MEMBERSHIPS, SUBSCRIPTIONS, AND FEES
Membership
Aligre offers the following types of membership:
Consumers: May access free and premium analytics based on consumer inputs and market data
Agents: May subscribe to access behavioral analytics, dashboards, and introductions.
Lenders: May subscribe to market intelligence tools and access users (only upon user opt-in).
Vendors: May subscribe for visibility on future home services marketplace.
Fees
Fees are subscription-based and vary by membership tier.
Fees are not tied to transactions, commissions, or referral success.
Fees are processed through secure third-party processors.
Refunds are issued only in accordance with the platform's published cancellation policy.
Aligre may offer limited-time promotional rates that are subject to change.
We reserve the right to update pricing or membership structures with reasonable notice.
PART IX – DATA COLLECTION
User Consent and Data Practices
By using Aligre, you agree to the collection, analysis, and use of your personal and financial information. This may include:
Demographic, asset, liability, income, credit, and goal-based data
Third-party data access through APIs like Plaid or ATTOM
Behavioral data inferred from your use of the site
All data sharing is subject to our Privacy Policy. You may revoke API access or request deletion of your data in accordance with applicable law.
Use of APIs and Integrated Services
To provide real-time analysis, Aligre may connect with third-party services (e.g., Plaid) with your explicit authorization. These services may:
Access your financial accounts
Extract relevant information to assess housing readiness
Return personalized data to our platform
Aligre does not store your third-party credentials. We use best practices to maintain privacy and security across all integrations.
PART X: OPT-IN SERVICES
You may opt in to receive introductions to professionals (e.g., agents, lenders, vendors). Any introduction:
Is not a referral, endorsement, or guarantee
Is not exclusive or based on performance or outcome
Does not create an agency or fiduciary relationship
Does not commit you to working with this individual and or service provider
Aligre does not accept compensation tied to transaction closings or settlement services. Introductions are offered as a feature of subscription access and do not represent legal or financial advice.
Prohibited Activities
You may not:
Use the platform to perform illegal, fraudulent, or abusive acts
Misrepresent your identity or financial circumstances
Use or access another user’s data without consent
Attempt to reverse-engineer or disrupt platform systems
Exploit or gain unauthorized access to any part of the Services
We reserve the right to report unlawful behavior to authorities and cooperate with enforcement agencies.
No Agency or Fiduciary Relationship
Unless subject to a separately executed agreement, Aligre does not serve as:
Your real estate agent or designated broker
A dual agent for any transaction
A fiduciary or representative in any legal, financial, or real estate capacity
Legal Disclaimers
Services are provided "as-is" and "as available" without warranty.
No guarantee is made regarding results, property outcomes, or decision efficacy.
Aligre disclaims liability for any action you take or refrain from taking based on the Services.
Third-party content, including linked professionals or data, is not guaranteed for accuracy or reliability.
RESPA and Legal Compliance
Aligre complies with the Real Estate Settlement Procedures Act (RESPA), 12 U.S.C. § 2607. It does not:
Exchange anything of value for the referral of real estate settlement services
Provide incentives based on closings, referrals, or transaction volume
All fees charged are for access to the platform’s tools, analytics, user base, and digital features, not for settlement services.
Termination and Suspension
We may suspend or terminate your access if:
You breach these Terms or applicable law
You misuse data, impersonate others, or harass professionals
You fail to pay required fees or subscriptions
You engage in harmful or disruptive conduct
We reserve the right to suspend or discontinue any part of the Services with or without notice.
Indemnification
You agree to defend, indemnify, and hold harmless Aligre, its affiliates, officers, employees, and agents from and against all claims, demands, damages, costs, and liabilities (including legal fees) arising from:
Your use of the Services
Your breach of these Terms
Your violation of any third-party rights
Limitation of Liability
To the fullest extent permitted by law, Aligre shall not be liable for:
Any indirect, incidental, special, or consequential damages
Loss of profits, data, reputation, or opportunity
Delays, interruptions, or inaccuracies from third-party integrations
Platform or system errors affecting your decision-making
Your exclusive remedy for dissatisfaction with the Services is to stop using them.
Electronic Communications and Signature Consent
By using the Services, you consent to receive communications electronically. You also agree that electronic disclosures, agreements, and signatures are legally binding and satisfy legal requirements for written communication.
Where applicable, you agree to the use of DocuSign or similar e-signature platforms to execute binding agreements with Aligre or professionals introduced through the platform.
Modifications to Terms
We may revise these Terms at any time. Notice will be provided via email or platform alert. Continued use of the Services after notice constitutes acceptance of changes. Users should review these Terms regularly.
Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Washington, without regard to its conflict of laws principles. Disputes shall be resolved exclusively in the state or federal courts of King County, Washington. You waive any objection to personal jurisdiction or venue.
